Terms of Service

These Terms of Service ("Terms") govern your access to and use of the GoldenClaw website at goldenclaw.sh and services, including our MCP server and REST API (collectively, the "Service"). The Service is operated by Golden Claw ("we," "us," or "our").

IMPORTANT: PLEASE READ THESE TERMS CAREFULLY BEFORE USING THE SERVICE. BY ACCESSING OR USING THE SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS AND OUR PRIVACY POLICY.

THE SERVICE INVOLVES CRYPTOCURRENCY TRADING WHICH CARRIES SUBSTANTIAL RISK OF LOSS. PLEASE READ THE RISK DISCLOSURE SECTION CAREFULLY.

1. Acceptance of Terms

By creating an account, accessing, or using the Service, you confirm that:

• You are at least 18 years old
• You have the legal capacity to enter into these Terms
• You are not prohibited by applicable law from using the Service
• You understand and accept the risks associated with cryptocurrency trading
• You agree to comply with these Terms and all applicable laws

If you do not agree to these Terms, do not use the Service.

2. Description of Service

2.1 What GoldenClaw Is

GoldenClaw provides:

• An MCP (Model Context Protocol) server that enables AI agents to interact with cryptocurrency exchanges
• A REST API for programmatic access to trading functionality
• Tools for connecting to supported cryptocurrency exchanges
• Market data retrieval and order execution capabilities

2.2 What GoldenClaw Is NOT

GoldenClaw is:

• NOT a cryptocurrency exchange — we do not hold, custody, or control your funds
• NOT a financial advisor — we do not provide investment advice or recommendations
• NOT a trading bot — we provide infrastructure; you or your AI agents make trading decisions
• NOT a custodian — your funds remain on your chosen exchange at all times
• NOT a broker or dealer — we do not execute trades on our own behalf

2.3 Supported Exchanges

The Service currently supports the following CCXT-certified exchanges:

Binance, Bybit, OKX, KuCoin, Gate.io, HTX, Bitget, BingX, BitMart, BitMEX, CoinEx, and Hyperliquid.

Support for exchanges may change without notice. We are not affiliated with any of these exchanges.

3. Account Registration and Security

3.1 Account Creation

To use the Service, you must create an account with a valid email address. You agree to:

• Provide accurate and complete information
• Maintain and update your information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access

3.2 API Credentials

When you connect an exchange, you provide API credentials (API key and secret). You acknowledge that:

• You are responsible for creating API keys with appropriate permissions
• We strongly recommend using API keys WITHOUT withdrawal permissions
• You are responsible for the security of your API credentials

Compromised credentials should be revoked immediately on the exchange

3.3 Account Responsibility

You are solely responsible for all activity under your account, whether or not authorized by you.

4. Subscription and Payments

4.1 Free and Paid Plans

The Service offers both free and paid subscription plans. Features available under each plan are described on our website and may change.

4.2 Payment Processing

Payments are processed by Paddle.com Market Limited ("Paddle"), our Merchant of Record. By subscribing to a paid plan, you agree to Paddle's Terms of Service. Paddle handles all billing, invoicing, and payment-related customer support.

4.3 Billing

Subscriptions are billed in advance on a recurring basis (monthly or annually)

You authorize Paddle to charge your payment method automatically

Prices are displayed in your local currency where available

4.4 Refunds

Due to the nature of the Service, refunds are generally not provided. However, you may request a refund within 14 days of initial purchase if you have not actively used the paid features. Refund requests should be directed to Paddle.

4.5 Cancellation

You may cancel your subscription at any time through your account settings. Upon cancellation:

• You retain access until the end of your current billing period
• No partial refunds are provided for unused time
• Your account reverts to the free plan

5. Acceptable Use

5.1 Permitted Use

You may use the Service only for lawful purposes and in accordance with these Terms. You agree to use the Service:

• For your own personal or business trading activities
• In compliance with all applicable laws and regulations
• In compliance with the terms of service of connected exchanges

5.2 Prohibited Conduct

You agree NOT to:

Illegal Activities:

• Use the Service for any illegal purpose
• Violate any laws, including securities, tax, or anti-money laundering laws
• Engage in market manipulation, wash trading, or fraud
• Use the Service in jurisdictions where cryptocurrency trading is prohibited

Technical Abuse:

• Attempt to gain unauthorized access to the Service or related systems
• Interfere with or disrupt the Service or servers
• Circumvent any security measures or rate limits
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service to develop a competing product

Harmful Behavior:

• Share your account credentials with others
• Resell or redistribute access to the Service without authorization
• Use the Service to harm, harass, or defraud others
• Submit false or misleading information

5.3 Enforcement

We reserve the right to investigate and take action against violations, including:

• Warning or suspending your account
• Terminating your account
• Reporting to law enforcement
• Pursuing legal action

6. Intellectual Property

6.1 Our Intellectual Property

The Service, including its software, design, content, and trademarks, is owned by us or our licensors. You receive a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.

6.2 Restrictions

You may not:

• Copy, modify, or distribute any part of the Service

• Remove any copyright or proprietary notices

If you provide feedback or suggestions about the Service, we may use them without any obligation to you.

7.1 Cryptocurrency Exchanges

The Service connects to third-party cryptocurrency exchanges. You acknowledge that:

• Each exchange has its own terms of service, which you must comply with
• We are not responsible for the actions, content, or policies of exchanges
• Exchange availability, functionality, and fees are outside our control
• Exchanges may restrict or terminate your access at any time

7.2 AI Services

If you use the Service with AI agents (e.g., Claude, GPT), you are responsible for:

• Compliance with the AI provider's terms of service
• Decisions made by AI agents using the Service
• Any losses resulting from AI-generated trading decisions

7.3 Other Third Parties

The Service may integrate with or link to other third-party services. We are not responsible for these services.

8. Risk Disclosure and Disclaimers

8.1 Cryptocurrency Trading Risks

CRYPTOCURRENCY TRADING INVOLVES SUBSTANTIAL RISK OF LOSS AND IS NOT SUITABLE FOR ALL PERSONS.

You acknowledge and agree that:

• Cryptocurrency markets are highly volatile and unpredictable
• You may lose some or all of your invested capital
• Past performance is not indicative of future results
• Leverage and derivatives trading amplify both gains and losses
• Market conditions can change rapidly, including due to regulatory actions, technical failures, or other events

THE SERVICE DOES NOT PROVIDE FINANCIAL, INVESTMENT, TRADING, TAX, OR LEGAL ADVICE.

All information, tools, technical indicators, market data, and functionality provided through the Service are for informational and educational purposes only. Nothing provided through the Service constitutes:

• A recommendation to buy, sell, or hold any cryptocurrency
• A solicitation to engage in any trading activity
• Financial planning or investment advice
• Tax advice or legal advice
• A prediction of future price movements

Technical indicators (RSI, MACD, EMA, SuperTrend, etc.) are mathematical calculations based on historical data. They are provided solely for educational purposes, do NOT predict the future, and should NOT be relied upon as trading signals or recommendations.

8.3 No Guarantee of Results

WE MAKE NO REPRESENTATIONS OR WARRANTIES THAT:

• You will make money using the Service
• You will avoid losses
• You will outperform other traders or the market
• Any technical indicator will generate profitable signals
• Any trading strategy will be successful
• You will achieve any specific financial outcome

Using GoldenClaw does NOT give you any advantage over other market participants. Trading success depends on numerous factors outside our control, including your skills, experience, discipline, market conditions, and luck.

ANY TESTIMONIALS, REVIEWS, CASE STUDIES, OR SUCCESS STORIES:

• Represent individual experiences only
• Are NOT representative of typical results
• Are NOT guarantees of future performance
• Should NOT be relied upon for trading decisions
• May not reflect your experience
• May have been compensated

PAST PERFORMANCE IS NOT INDICATIVE OF FUTURE RESULTS.

Individual results vary significantly. Most traders lose money.

8.5 AI and Automation Risks

Using AI agents or automated systems for trading carries additional risks:

• AI may make errors or unexpected decisions
• Technical failures may result in unintended trades
• Network latency may affect execution
• You remain responsible for all trades executed through the Service

8.6 Service Availability

We do not guarantee that the Service will be available at all times. The Service may be interrupted due to:

• Scheduled or emergency maintenance
• Technical failures or cyberattacks
• Exchange outages or API changes
• Force majeure events

8.7 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Service will meet your requirements
• The Service will be uninterrupted, timely, secure, or error-free
• Results obtained from the Service will be accurate or reliable
• Any errors will be corrected

9. Limitation of Liability

9.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WE BE LIABLE FOR ANY:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Trading losses or missed trading opportunities
• Damages arising from your use of or inability to use the Service
• Damages arising from unauthorized access to your account

9.2 Cap on Liability

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF:

• The amount you paid us in the 12 months preceding the claim, or
• One hundred US dollars ($100)

9.3 Basis of the Bargain

You acknowledge that:

• These limitations reflect the allocation of risk between the parties
• The Service would not be provided without these limitations
• These limitations apply regardless of the theory of liability

9.4 Jurisdictional Limitations

Some jurisdictions do not allow the exclusion of certain warranties or limitations on liability. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless us and our officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your trading activities

11. Termination

11.1 Termination by You

You may stop using the Service and close your account at any time.

11.2 Termination by Us

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Reasons for termination may include:

• Violation of these Terms
• Suspected fraudulent or illegal activity
• Extended inactivity
• Discontinuation of the Service

11.3 Effect of Termination

Upon termination:

• Your right to use the Service ceases immediately
• We may delete your account data (subject to legal retention requirements)
• Provisions that by their nature should survive termination shall survive (including Sections 6, 8, 9, 10, and 12)
• You remain responsible for any outstanding obligations

12. Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Ukraine, without regard to its conflict of law principles.

12.2 Informal Resolution

Before initiating formal proceedings, you agree to contact us at support@goldenclaw.sh and attempt to resolve any dispute informally for at least 30 days.

12.3 Arbitration

Any dispute not resolved informally shall be resolved through binding arbitration, except that either party may seek injunctive relief in court for intellectual property matters.

12.4 Class Action Waiver

YOU AGREE THAT ANY DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS AND NOT AS PART OF ANY CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

13. General Provisions

13.1 Entire Agreement

These Terms, together with the Privacy Policy, Risk Disclosure, and any other policies referenced herein, constitute the entire agreement between you and us regarding the Service.

13.2 Modifications

We may modify these Terms at any time. Material changes will be notified via email or prominent notice on the Service. Continued use after changes constitutes acceptance.

13.3 Waiver

Our failure to enforce any provision does not constitute a waiver of that provision.

13.4 Severability

If any provision is found unenforceable, the remaining provisions remain in effect.

13.5 Assignment

You may not assign these Terms without our consent. We may assign these Terms without restriction.

13.6 Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control.
